Terms of Reference (ToR) for the Recruitment of Qualified Audit Firm

1.    Background

Amity Foundation, a Non-profit organization, was founded in 1985 on the initiative of Chinese Christians. As one of the earliest non-government organizations established after China’s reform and open-up, Amity aims to boost the development of China’s public welfare covering education, social welfare, health, community development, environment protection, humanitarianresponse and etc. Up to now, Amity projects have benefited more than ten million people in 31 provinces, municipalities, and autonomous regions in China.

Brot fuer die Welt/ Bread for the World (below abbreviated as BftW) is a globally active development and relief agency of the Protestant Churches in Germany, and has been cooperated with Amity Foundation for over 30 years.

2.    Objectives and Scope

The purpose of this recruitmentis to find an independent neutral auditing firm for all nine ongoing projects and possible new projects supported by BftW. Every project needs to be audited each half year.

The recruitment shall be conducted in Nanjing, Jiangsu Province and the chosen audit firm should locate in Nanjing City because the auditing should be conducted at the location of Amity Foundation or in exceptional cases if necessary it can be carried out at such other location as BftW and Amity shall agree on extra cost. 

An international auditing firm is preferred for who could understand more about international auditing standards and regulations.

3.    Key Requirements

a)      The audit firm have a proof of authorization or registration as an audit firm. The responsible staff for auditing Amity projects should hold certified public accountant professional qualification (CPA) and has corresponding qualification and relevant experience.

b)      The audit firm has been established and carried out businesses over five years and acquired good business reputation.

c)      The audit firm could plan and perform the auditing in accordance with International Standards on Auditing (ISA) as adopted in China.

d)      The audit firm which presumes actively social responsibility is preferred. 

e)      The audit firm which has related experiences providing continuing auditing services for international NGOs is preferred.

f)       The audit firm and its affiliates have no any public and private relationship with Amity foundation. It shall be independent and neutral all the time.

g)      The audit firm should be qualified to audit Amity international projects (in both Chinese and English version) according to Amity Foundation’s financing partner’s (Bread for the World) internal compliance regulations.

h)      The auditor needs to fill out the attached questionnaire. 

i)       The audit firm should provide opinions on:

j)       Whether Amity has adhered to the terms of the Agreement of Cooperation with BfdW of nine projects*;

k)      Whether the project funds have been used exclusively for the purposes of the respective projects in accordance with the Agreements of Cooperation and the budgets; and

l)       Whether the financial statements of Amity’s respective projects show a true and fair view of the project’s income and expenditure for the respective periods and of its funds and cash status at that date.

m) The auditor firm needs to provide a Management Letter.n) The auditor firm needs to agree that the audit reports and management letter are shared with and commented by BftW.

* 8 projects need to be re-audited, 1 project will be newly audited. 


4.     Proposal Qualification Requirements

Interested auditing firms should include following information in their proposal:

a)    The organization and staff size of the proposer, whether it is local, regional, national or international in operations.

b)   The location of the office from which the work is done and the number of professional staff.

c)    A statement that all requirements listed above (3. Key requirements) are satisfied.

d)   Proposer’s qualifications.
